For the purposes of this definition, “control” means (i) the power, direct or indirect, to cause the direction or management of such entity, whether by contract or otherwise, or (ii) ownership of fifty percent (50%) or more of the outstanding voting shares of such entity, or (iii) beneficial ownership of such entity. “Licensor” means the entity offering this Agreement which includes Mass General Brigham Incorporated and its affiliates offering this Agreement. “Materials” shall mean the work of authorship, whether in source or object form, and text or non-code form, made available under this Agreement, which may be indicated by a copyright notice included in or attached. “Model(s)” shall mean the materials provided to you under this agreement that may be embodied in an artificial intelligence or machine learning model, including without limitation a collective work of authorship spanning model architecture, code in source or object Form, parameters, data descriptions, data, model weights, and all related artifacts. “Use” and “Using” shall mean and include anything You do with the Data or Materials, including anything You do with the Data or Materials that requires any license, transfer or assignment from You. “You” (or “Your”) shall mean an individual or Legal Entity exercising permissions granted by this License. 2. Scope of Agreement. This Agreement applies to the Data, and Materials available under this specific Agreement. IF You COMPLY WITH THIS Agreement, You HAVE THE RIGHTS AND OBLIGATIONS OF THIS Agreement. BY ACCESSING OR Using THE Data OR Materials, You ACCEPT THIS Agreement. If You are accessing, Using, or receiving the Data or Materials on behalf of Your company or Legal Entity, then You represent and warrant to Licensor that You have the authority to enter into this Agreement on behalf of such Legal Entity. 3. License: Use and Distribution Rights (but without modifications). Subject to the terms of this Agreement, Licensor licenses You to Use the Data and Materials solely for non-commercial, non-revenue generating, research purposes, and You may modify any Data and Materials. You may distribute only the unmodified Data and Materials and only for noncommercial and non-revenue generating purposes. You may not distribute Your modifications to any Data or Materials. Doing so or attempting to do so immediately revokes Your rights under this Agreement and renders You personally, and the Legal Entity You Use or act for, liable to Licensor for preliminary and permanent injunctive relief (without Licensor posting any bond), damages, Licensor’s attorney fees, and any other remedies or relief provided by a court of competent jurisdiction. 4. Limitations. Unless applicable law gives You more rights despite this Agreement, You may not: (a) work around any technical limitations in the Materials or any accompanying instructions that only allow You to Use it in certain ways; (b) reverse engineer, decompile or dissemble the Materials; (c) remove, minimize, block or modify any notices Licensor supplies in the Materials or on any output from the Materials; (d) Use the Materials in any way that is against the law or to create or propagate viruses, malware, or misinformation; (e) alter or remove any patent, trademark, authorship, copyright, or other notices in the Materials; or (f) transfer this Agreement, or any of Your obligations or rights under this Agreement, to any third party. However, You may share the Data and Materials without any changes or modifications for non-commercial and non-revenue generating purposes. 5. No Implied Rights. (a) Rights not expressly granted are reserved to Licensor. (b) For the avoidance of doubt, Licensor may also offer the licensed Materials to others under separate terms or conditions, or stop distributing the Material at any time; however, doing so will not alter or terminate this Agreement to You. (c) This Agreement does not include any express or implied license to any invention, patentable subject matter, or patent, of any kind or nature in any country or jurisdiction in the world. (d) The Materials may include Data, graphs, and / or Models, and if so, You are permitted to use and modify such Data, graphs, and Models according to the terms of this Agreement, provided that You may have obligations to comply with laws and policies concerning personal data or patient health information, and this Agreement does not excuse or limit any such obligations. 6. Disclaimer of Warranties. The Data and Materials licensed to You under this Agreement is provided by Licensor on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. Licensor makes no warranty or representation (i) regarding the validity or scope of any of the Materials or licensed intellectual property, and (ii) that the exploitation of the Data and Materials or licensed intellectual property will not infringe any patents or other intellectual property rights of Licensor or of any third party. You are solely responsible for determining the appropriateness of Using or redistributing the Work and assume any risks associated with Your exercise of permissions under this License. 7. No Trademark or Name License. This Agreement does not grant permission to Use the trade names, trademarks, service marks, or product names of Licensor, except as required for reasonable and customary mention in describing the origin of the Data and Materials and reproducing the content of any notice or notice file. Except as provided in the preceding sentence, You shall not Use any mark or name of Licensor, or anything confusingly similar thereto or to any Internet website or Universal Resource Locator of Licensor, nor any name of any trustee, director, officer, staff member, employee, student or agent of Licensor, or any adaptation thereof in any advertising, promotional or sales literature, publicity or in any document employed to obtain funds or financing without the prior express written approval, in each instance, of Licensor and of any individual whose name is to be used or mentioned. 8. Limitation of Liability. In no event shall Licensor or any of its trustees, directors, officers, medical or professional staff, employees, students, volunteers, agents, and/or attorneys be liable to you, or any contributor , or any of their affiliates, subcontractors, customers, sublicensees or distributors for indirect, special, incidental or consequential damages of any kind arising in any way out of this agreement, or rights granted hereunder, however caused including on any theory of liability, including without limitation economic damages or injury to property or lost profits, regardless of whether you or any contributor shall be advised, shall have other reason to know, or in fact shall know, of the possibility of any of the foregoing. Subject, in any event, to the limitations in the foregoing sentence, the liability of You and your Affiliates or any of their respective trustees, directors, officers, medical or professional staff, students, volunteers, employees, agents and attorneys, and their respective successors, heirs and assigns, with respect to any and all suits, actions, legal proceedings, claims, demands, damages, costs and expenses arising out of the performance or non-performance of any obligation under this Agreement whether based on contract, warranty, tort (including without limitation negligence), strict liability, statutory or otherwise, shall not exceed in the aggregate a sum equal to the total amounts paid to Licensor for this Agreement. The foregoing limitation applies notwithstanding the failure of any agreed or other remedy of its essential purpose. 9. Interpretation. The section and other headings of this Agreement are for convenience of reference only and shall not be definitive of the interpretation of this Agreement. Whenever the context reasonably permits, the singular shall include the plural, the plural shall include the singular, and the whole shall include any part thereof. Any waiver under this Agreement must be in writing and any waiver of one event shall not be construed as a waiver of subsequent events. If any provision of this Agreement is invalid or unenforceable under applicable law, such provision shall be limited, narrowed, construed and altered as necessary to render it valid, but only to the extent necessary to achieve such validity. If necessary, the invalid provision shall be eliminated from this Agreement. The remaining provisions shall remain in full force and effect. You may not assign or transfer this Agreement.
