Description

Founding Charter of AGIAM Technologies Ltd, the licensed integrator of the Amagi Architectural Class. Establishes the legal, governance, and operational framework for the ethical commercialization of the Amagi Framework v2.0 and its companion specifications (NIPU v1.1, MEM v1.1, Open Specification v1.1, NIST AI RMF Profile v1.1, Master Parameter Sheet v2.0, HARA v1.0, FMEDA v1.0, Traceability Matrix v1.0, S-APL v2.0).

The Charter defines: (1) the company's mission to enable global deployment of trustworthy AI in high-risk domains through licensed, certified, hardware-enforced safety architectures; (2) the relationship between AGIAM Technologies and the Amagi intellectual property — AGIAM is a licensee under the Strict Architectural Principle License (S-APL v2.0), not the IP owner; (3) the Derivative Architecture License Agreement (DALA) process for third-party implementations per S-APL v2.0 Section 5; (4) the key person succession protocol based on Shamir 3-of-5 secret sharing; (5) audit obligations and the ZKP audit protocol; (6) the certification tier definitions aligned with S-APL v2.0 Section 6; (7) the Wassenaar Arrangement dual-use export control compliance framework.

Version 1.2 resolves cross-document conflicts with S-APL v2.0 identified during architectural review: the Derivative Architecture definition is now exclusively invariant-based per S-APL v2.0 Section 5 (no trademark-based variants); the certification tier definitions are realigned with S-APL v2.0 Section 6; the DALA is clarified as the separate instrument for Tier 5/6 implementations per S-APL v2.0 Section 5; and the royalty model is updated to match S-APL v2.0 Section 7. AGIAM Technologies does not own the Amagi intellectual property; it holds only the right to implement, certify, and support it under license.
