Legal scholars have sought to examine the essence of acts designated as commercial by the legislator, aiming to extract their characteristics and identify the core element that distinguishes commercial acts from civil acts. This serves as a guiding criterion to determine the nature of acts not explicitly specified by the legislator, thereby enabling the classification of a particular act as either commercial or civil. In this regard, scholars have proposed several theories.

حاول الفقهاء البحث في جوهر الأعمال التي نص المشرع على تجاريتها لاستخلاص سماتها والكشف عن العنصر الجوهري التي يميز العمل التجاري عن العمل المدني لاتخاذه معياراً يسترشد به لتحديد طبيعة الأعمال التي لم ينص عليها المشرع، حتى يمكن على ضوء هذا المعيار الحكم على عمل معين بأنه تجاري أو مدني. وقد طرح الفقهاء في هذا الشأن عدة نظريات.
