الأركان الشكلية لعقد الشركة وأثر تخلف أركان عقد الشركة

The satisfaction of general and specific substantive requirements is not sufficient for a company to attain a valid legal existence. In addition, certain formal requirements mandated by law must be met, namely: writing and public disclosure (publicity).

On the one hand, it is essential that the founding partners, as well as future partners, are fully aware of their rights and obligations. Consequently, the company's contract must be drawn up in writing so that every partner has a clear understanding of their respective rights and duties, based on a written instrument that serves as a detailed reference whenever needed. On the other hand, third parties dealing with the company must be able to easily access all pertinent information, including its name, legal form, objects, capital, and duration. To this end, the legislator has made the public disclosure (registration) of the company’s contract a mandatory requirement.

لا يكفي توافر الأركان الموضوعية العامة والخاصة لكي تحيا الشركة حياة قانونية صحيحة، وإنما يلزم إلى جانب ذلك قيام أركان شكلية تطلبها القانون، وهي الكتابة والشهر.لا يكفي توافر الأركان الموضوعية العامة والخاصة لكى تحيا الشركة حياة قانونية صحيحة، وإنما يلزم إلى جانب ذلك قيام أركان شكلية. فمن الضروري، من ناحية أولى، أن يعرف الشركاء المؤسسون أو الذين سينضمون إلى الشركة في المستقبل، حقوقهم وواجباتهم. ومن ثم يلزم كتابة عقد الشركة حتى يعلم كل شريك بما له وما عليه إلماماً قائماً على سند كتابي يستطيع الرجوع إليه، بما يحويه من تفصيلات، كلما دعت الحاجة إلى ذلك. ومن ناحية ثانية، فإن الغير الذي يتعامل من الشركة يجب أن يتمكن بسهولة من الاطلاع على كل ما يخص الشركة من اسم وشكل وغرض ورأسمال ومدة ..الخ. وللوصول إلى هذا الهدف فقد استلزم المشرع شهر عقد الشركة
