الشخصية الاعتبارية للشركة المحاضرة الخامسة

Legal personality refers to the capacity of an entity to acquire rights and incur obligations. A legal person is an entity composed of a group of persons or assets upon which the law confers legal personality. The legal personality of a company is a means of drawing an analogy between it and the natural personality of individuals; by virtue of legal personality, a company, like a natural person, has the right to acquire rights and incur obligations, and is therefore entitled to buy and sell. Furthermore, once the legal personality of the company is established, lawsuits may be brought against it as an independent entity distinct from the personalities of its partners. Thus, the wisdom behind conferring legal personality upon groups is to enable them to deal with third parties as a single entity, independent of its constituent members.

الشخصية الاعتبارية تعني صلاحية الشخص لاكتساب الحقوق والتحمل بالالتزامات. والشخص الاعتباري كائن يتكون من مجموعة أشخاص أو أموال يخلع عليها القانون الشخصية الاعتبارية. والشخصية الاعتبارية للشركة، وسيلة للتشبيه بينها وبين الشخصية الطبيعية للأفراد، فبمقتضى الشخصية الاعتبارية يحق للشركة كالفرد الطبيعي أن تكتسب الحقوق وتلتزم بالإلتزمات، فيكون لها أن تشتري وتبيع، هذا بالإضافة إلى أنه بمجرد ثبوت الشخصية الاعتبارية للشركة يمكن رفع الدعاوى عليها باعتبارها شخصية مستقلة عن شخصية الشركاء. إن الحكمة إذن من إضفاء الشخصية الاعتبارية على المجموعات هو تمكينها من التعامل مع الغير بوصفها شخصاً واحداً ومستقلاً عن الأعضاء المكونين لها.
