Description
A company is a contract entered into by two or more persons for the purpose of investing their capital, which may take the form of shares or contributions in a specific project, with the intent to share any profits or losses resulting from such investment. While a company contract is similar to other contracts in terms of the requirements for its formation and validity, it is distinguished by the fact that its conclusion results in the emergence of a legal person distinct from the personality of its members. This is known as the corporate personality (legal personality) of the company, which enjoys a legal entity independent of the partners composing it.
الشركة هي عقد يبرم بين شخصين أو أكثر بهدف استثمار أموالهم، التي قد تأخد صور حصص أو أسهم في مشروع معين مع انعقاد نيتهم على اقتسام ما قد ينتج عن هذا الاستثمار من أرباح أو خسائر. وإذا كان عقد الشركة يتشابه مع غيره من العقود من حيث شروط انعقاده وشروط صحته، إلا أنه يتميز عن غيره من العقود من حيث إن إبرامه يترتب عليه ظهور شخص قانوني متميز عن شخصية أعضائها وهو ما يعرف بالشخصية الاعتبارية للشركة الذي يتمتع بكيان قانوني مستقل عن الشركاء المكونين له.
