This Custom Software License Agreement ("Agreement") is entered into by and between IMGT ("Licensor") and you ("Licensee") for the software product identified above ("Software"). 1. GRANT OF LICENSE Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a personal, non-exclusive, non-transferable license to: Download one or many copy of the Software Execute the Software solely for Licensee's internal purposes Use the Software only in object code form 2. OWNERSHIP The Software and all intellectual property rights therein are owned by Licensor and its licensors. Licensee acknowledges that no title to or ownership of the Software is transferred hereby. All rights not explicitly granted to Licensee are reserved by Licensor. 4. TERM AND TERMINATION This Agreement shall commence upon Licensee's download of the Software and shall continue unless terminated earlier by Licensor. Upon termination, Licensee shall cease all use of the Software and destroy all copies thereof. 5. WARRANTY DISCLAIMER THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. 6. LIMITATION OF LIABILITY IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7. BY DOWNLOADING OR USING THE SOFTWARE, LICENSEE ACKNOWLEDGES THAT IT HAS READ THIS AGREEMENT, UNDERSTANDS IT, AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS.
